Three working days, not weeks
You submit your details and sign the contract online.
We prepare and check all registration paperwork.
You receive the contract and the certified owner's statement: everything you need to register the address.
PROCESS
A guide from ordering an address to entering the company in the register. Two scenarios: opening a new company or moving an existing seat.
Scenario A: Opening a new company
Step 1: order your business address
Within three working days of ordering you receive the business address contract and a certified statement from the property owner permitting business at the address. The registration authority requires this statement whenever you don't own the premises. We prepare both documents. You just attach them to your application.
Step 2a (s.p.): How to open an s.p.?
Registering an s.p. is free of charge. You do it via the SPOT portal (a qualified digital certificate is required) or in person at a SPOT point, bringing a personal ID and your tax number. AJPES then enters you in the Slovenian Business Register. Official instructions: spot.gov.si: registering an s.p.
Step 2b (d.o.o.): How to open a d.o.o.?
A simple d.o.o. (share capital of at least €7,500, paid in cash) is established free of charge at a SPOT point or via the SPOT portal. More complex cases, such as in-kind contributions or complex ownership, are handled by a notary at the notarial tariff. The company is entered in the court register. Official instructions: spot.gov.si: establishing a d.o.o.
Step 3: after registration (tax authority)
An s.p. must report tax data to FURS within 8 days of registration, including the chosen bookkeeping method. A d.o.o. likewise submits its details to FURS after entry and opens a business bank account. Official information: fu.gov.si: registering an activity
Scenario B: Moving an existing seat
Step 1: new address paperwork
Same as for a new company: we provide the business address contract and the certified owner's statement for the new address. Without these two documents the address change cannot be registered unless you own the premises.
Step 2a (s.p.): change via SPOT
You must report a change of business address within 15 days of the change: via the SPOT portal (with a qualified digital certificate) or in person at a SPOT point. The procedure is free; AJPES records the entry. Official instructions: spot.gov.si: reporting changes
Step 2b (d.o.o.): resolution and filing
The 15-day reporting deadline applies to a d.o.o. as well. A simple change of business address is filed free of charge at a SPOT point and entered in the court register. If the town of the registered seat changes, or the founding act was made as a notarial deed, an amendment of the act and a notary are generally required. Official instructions: spot.gov.si: reporting changes
Step 3: who else to notify
After the new address is registered, arrange: mail forwarding with Pošta Slovenije (see below), notify your bank and business partners, and update the address on invoices, your website and stamps.
What we prepare
The business address contract, the certified owner's statement, step-by-step instructions and help with the filing. After registration: mail pickup and notifications.
What you handle
You submit the application via the SPOT portal or at a SPOT point (via a notary for complex d.o.o. cases), report your data to FURS after entry, and notify your bank and partners.
Mail after moving your seat
After you move your seat, mail keeps arriving at the old address for a while. Pošta Slovenije offers forwarding to a new address (the 'naslovnikovo naročilo' service): you arrange it at any post office or with your mail carrier, bringing a personal ID.
The service is charged per the Pošta Slovenije price list (pricing differs for individuals and legal entities) and can be arranged for six months or one year. Official information: posta.si: moving to a new address and posta.si: addressee's order.
Mail arriving at your new address with us is picked up and reported to you, usually the same working day. This is included in the annual price.
Virtual seat in the law
The Companies Act (ZGD-1) requires every company to have a registered seat and business address entered in a register: for an s.p. in the Slovenian Business Register at AJPES, for a d.o.o. in the court register. Without a registered business address a company cannot be entered. Official explanation: spot.gov.si: before establishing a company.
What a virtual seat is
A fully registered business address: the register entry points to it and official and business mail arrives there. For banks, the tax authority and clients it is equal to any other address.
What it is not
It is not a physical office: you don't receive clients there or run an activity that needs premises. For meetings we recommend renting space by the hour.
Owner's statement
If you don't own the premises, the registration authority requires a certified statement from the owner permitting business at the address. We deliver it prepared and certified, together with the contract.
Our contract
The relationship is governed by the business address contract. It states the three-working-day deadline: from complete details and signature to the documents you file for registration.
Property owner's statement
The property owner's statement (izjava lastnika objekta) is a document in which the owner of the premises permits a company to register its seat or business address there. The registration authority requires it whenever you don't own the premises at the business address. This applies to both s.p. and d.o.o. With us, the certified statement is prepared within three working days and included in the annual price.
Who signs it and when must it be certified?
The statement is signed by the property owner. The signature is certified at an administrative unit or a notary; certification is unnecessary only if the owner gives the statement in person at a SPOT point together with the registration application. Official instructions: spot.gov.si: registering an s.p.
What role does it play in registration?
The certified owner's statement is a mandatory attachment to the s.p. registration in the Slovenian Business Register, decided by AJPES. For establishing a d.o.o., the owner's certified consent to the business address is required. Without this document the application is incomplete.
How do you get it from us?
The certified owner's statement and the business address contract are included in the annual price. We prepare and certify them within three working days; you simply attach them to your application, with no trips to an administrative unit or a notary.

Frequently asked questions
Is a Moravče address legally equal to a Ljubljana address?
Yes. The legal validity of a registered address doesn't depend on the postal code. Both locations meet the same requirements for registering a d.o.o. or s.p.
What happens to mail that arrives at the address?
You arrange your mail the way you choose; both modes are included in the annual price. Mode A (forwarding): you redirect your mail to your own address and we help you with the form; Pošta Slovenije charges the redirection per its price list (for business recipients about 49.60 € per year for letters). Mode B (pickup and notification): we receive your mail and notify you of every item the same working day; we scan the contents after your confirmation, 20 documents per month included.
Can I change the registered address later?
Yes. Changing the address is a filing through the SPOT system: for an s.p. in the Business Register at AJPES, for a d.o.o. in the court register. We help with it as long as you're our client.
What if I close or sell the company later?
Cancel in writing at info@sedezpodjetja.si; it takes effect immediately, with no notice period. We do not refund the unused portion of the annual price; this does not affect a consumer's right of withdrawal under section 15 of the terms of service.
Can I actually operate a business from this address?
The address is for registering your seat and receiving mail, not a physical office for client visits. The meeting room is not part of the flat fee; you rent it by the hour when you need it.
How long from order to the registration documents?
You receive the registration documents (the contract and the certified owner statement) within three working days of our receiving your details and the signed contract. The entry itself is made by SPOT, AJPES or a notary, so we cannot guarantee the date of the entry.
How much does opening an s.p. cost?
Registering an s.p. is free of charge: you pay nothing on the SPOT portal or at a SPOT point. A cost arises only if you need a business address for your seat: with us it's €149/year in Moravče or €350/year in Ljubljana, mail pickup and all paperwork included.
Can I open a d.o.o. with no capital?
No. The law requires share capital of at least €7,500 to establish a d.o.o. It can be paid in cash or as an in-kind contribution; for the simple free establishment via a SPOT point the capital is paid in cash.
Is everything really included?
Everything you need for the address is in the annual price: the business address with the certified owner's statement, all registration paperwork, your company name on the mailbox, and mail handling in the mode you choose (A or B). You pay separately only: under mode A the Pošta Slovenije redirection (for legal entities about 49.60 € per year for letters; Pošta Slovenije price list, September 2026, subject to change); under mode B the one-off P-71 authorization (11.05 €); scanning over 20 documents per month (2 € per document); forwarding an item to another address (2 € per item plus actual postage); accounting if you order it.
Do new clients really get a free website?
Yes. For every new client, after the first invoice is paid, we prepare a logo, a one-page website, a .eu domain and one year of hosting. The details are in the gift terms.
